Downloading it is ok for 99% of all videos, but uploading it again might be a problem. Best thing would be to ask the original owner of the video for his permission, then you are safe. Else ******* might lock the video automatically, or the owner asks you to remove it. There wont be further legal consequences I think.
But in fact uploading the (copyrighted) music without the expicit permission is illegal.

As far as I know, they don't take any action, they just warn you. (I think the worst you can get is that your account becomes temporarily disabled for a week)
Edit: Oops, Mauzen beat me!

I'm not uploading it and claming it as my own. I'm playing it beside a movie and I gave credits to the songs and *******. I didn't mention that, perhaps thats different ?

How old is the song, and what company originally owned it?

Judging by the music, I don't think anything will be done, I used to have video's with copyrighted music in it, worst thing they do is remove the soundtrack from the video, then you have to choose from a list of royal free music to replace it. (plus you get a warning, which reduces your chance of becomming ******* partner).
